Consumer Ordering Terms (Marketplace Terms) for Bumi

1. Introduction

PLEASE READ THESE MARKETPLACE TERMS CAREFULLY. By placing an order through Bumi, you agree to these Marketplace Terms (also called consumer ordering terms), our Terms of Service, and our Privacy Policy.

These Terms govern your purchase of food and related goods from independent merchants through Bumi (the "Platform"). The Platform is operated by BumiSoft LLC, which provides technology only and is not the seller of your order.

For orders in Malaysia, MKN Technologies ("TSP", "we" where the TSP is identified as merchant of record) acts as merchant of record for payment, receipts, applicable tax collection, and refunds required by law, under Malaysian law (Consumer Protection Act 1999).

2. Who you are dealing with

When you place an order through the Platform in Malaysia, the following parties are involved:

  • MKN Technologies (Territory Services Provider) — processes your payment, issues your receipt, handles refunds as required by law, and manages the commercial side of your transaction as merchant of record.
  • BumiSoft LLC — owns and licenses the Platform software. It provides technology but is not the seller of your food or goods.
  • The merchant (restaurant or store) — the independent business that prepares and supplies your order. The merchant is solely responsible for product quality, safety, preparation, and descriptions.

Note

MKN Technologies is a sole proprietorship (not a Sdn. Bhd.) registered in Malaysia.

3. What the Platform does (and does not do)

3.1 The Platform does

  • Connect you with merchants through technology
  • Display menus and order information
  • Transmit your order and facilitate payment through the TSP
  • Provide tools to coordinate pickup or delivery where available

3.2 The Platform does not

  • Prepare, cook, handle, or deliver your food or goods
  • Verify food safety, kitchen hygiene, or allergen information
  • Guarantee the quality, accuracy, or safety of merchant products
  • Employ delivery drivers (they are independent contractors or third-party providers)

3.3 Your decisions

You are responsible for making informed decisions about your purchases, including reviewing allergen information and exercising judgment about food safety. This exists alongside the merchant's duty to provide safe products and your statutory remedies under Consumer Claims Tribunal for disputes up to RM 50,000; Malaysian courts otherwise.

4. Merchants

Merchants on Bumi are independent businesses. They are not employees, agents, or partners of Bumi, the TSP, or BumiSoft LLC.

Your purchase creates a relationship with the merchant for the goods ordered. The TSP acts as merchant of record for payment processing only, as described above.

  • Merchants set their own prices, menus, hours, and policies
  • Merchants prepare, package, and fulfill orders
  • Merchants are solely responsible for product quality, safety, and accurate descriptions
  • Merchants may use third-party delivery providers who are not our employees

5. Payments and fees

Your checkout total may include the components below. All amounts are shown before you confirm your order.

Receipts for your order are issued by MKN Technologies as merchant of record.

6. Cancellations and refunds

6.1 You may be eligible for a refund if

  • The merchant cancels your order
  • Your order is not delivered (non-delivery)
  • You receive wrong items or a significantly incorrect order
  • There are serious food safety issues (report promptly through the Platform)

6.2 Refunds are typically not available for

  • Personal taste preferences
  • Delivery delays due to traffic, weather, or high demand
  • Orders you failed to pick up or receive when available
  • Minor variations in portion size or presentation

6.3 Refund process

Contact MKN Technologies through the Platform for order and payment issues. Approved refunds are processed to your original payment method within 5–14 business days.

Your statutory rights under Consumer Claims Tribunal for disputes up to RM 50,000; Malaysian courts otherwise are not waived by these Terms.

You may bring claims to the Consumer Claims Tribunal for disputes up to RM 50,000, where applicable.

7. Delivery and pickup

Delivery and pickup are performed by merchants or independent delivery partners. They are not employees of the TSP or the Platform operator.

Delivery time estimates are estimates only, not guarantees. Actual time depends on preparation, traffic, weather, driver availability, and your location.

  • Provide an accurate delivery or pickup address and contact details
  • Be available to receive your order or respond to the driver
  • Follow building access and parking requirements where applicable

7.1 If you are unavailable

If you are not available when delivery is attempted, the order may be left in a safe location where permitted, returned to the merchant, or handled per merchant policy. You may remain responsible for payment as shown at checkout.

8. Food safety and allergens

8.1 Allergen warning

  • Allergen and ingredient information is provided by merchants and has not been independently verified by us
  • Cross-contamination can occur even when merchants follow best practices
  • If you have severe allergies, contact the merchant before ordering
  • If you experience a medical emergency, call 999 immediately

8.2 Merchant responsibility

  • Food safety and hygiene compliance
  • Accurate allergen and ingredient disclosure
  • Proper handling and preparation
  • Product quality and safety

8.3 After an incident

For urgent medical symptoms, call 999 first. You may then report the incident to MKN Technologies through the Platform.

Bumi and the TSP do not inspect merchant kitchens or guarantee food safety.

9. Your responsibilities

  • Use the Platform only for lawful purposes
  • Provide accurate account and order information
  • Not engage in fraud, harassment, or abuse of merchants, drivers, or staff
  • Not submit false reviews or manipulate ratings
  • Comply with these Terms and applicable laws

9.1 Prohibited conduct includes

  • Placing fake or fraudulent orders
  • Harassing merchants, drivers, or platform staff
  • Attempting to circumvent applicable fees shown at checkout

9.2 Consequences

Violation may result in suspension or termination of your access to the Platform.

10. Dispute resolution

10.1 Informal resolution

Contact MKN Technologies at [email protected] for order, payment, and delivery disputes. We will try to resolve issues within 30 days where possible.

10.2 Mediation

If informal resolution fails, either party may request mediation through Malaysian Mediation Centre (MMC) before court or arbitration proceedings, except where urgent injunctive relief is required.

10.3 Arbitration and courts

If mediation does not resolve the dispute, binding arbitration may apply under Asian International Arbitration Centre (AIAC), Kuala Lumpur, under AIAC Arbitration Rules, except where prohibited by applicable consumer law.

You may bring claims to the Consumer Claims Tribunal for disputes up to RM 50,000, where applicable.

For court proceedings, disputes are subject to the courts of Kuala Lumpur, Malaysia, without limiting your right to bring claims in your home jurisdiction where required by law.

11. Limitation of liability

To the maximum extent permitted by applicable law, MKN Technologies and BumiSoft LLC are not liable for foodborne illness, allergic reactions, injuries from merchant products, delivery delays, driver conduct, or merchant business practices.

Where permitted by law, liability for any claim is limited to the amount you paid for the specific order giving rise to the claim, or RM 500, whichever is greater.

These limitations do not apply to death or personal injury caused by negligence, gross negligence, or wilful misconduct where such limitation is prohibited by law.

Nothing in these Terms limits rights that cannot be excluded under Consumer Claims Tribunal for disputes up to RM 50,000; Malaysian courts otherwise, including statutory warranty and consumer refund rights where applicable.

12. Governing law and changes

These Terms are governed by the laws of Malaysia for transactions processed by MKN Technologies, including Malaysian law (Consumer Protection Act 1999).

We may update these Terms from time to time. For material changes, we will provide reasonable notice where required. Continued use of the Platform after changes take effect means you accept the updated Terms.

Important reminders

  1. We provide technology; merchants supply and prepare your order.
  2. MKN Technologies processes your payment as merchant of record but does not prepare or verify your food.
  3. Manage allergy risks carefully. Call 999 for medical emergencies.
  4. Delivery partners are independent; we do not control drivers.
  5. Your statutory consumer rights under Consumer Claims Tribunal for disputes up to RM 50,000; Malaysian courts otherwise cannot be waived where prohibited by law.
  6. Liability is limited as described in Section 11, subject to non-excludable rights and court authority for serious harm.

If you do not agree to these Terms, do not place orders through the Platform.
